PREAMBULE
PREAMBULE
Given the specific nature of the Company's operational organization, the Parties felt it necessary to reflect together on the most appropriate way of organizing the CSE's operation.
The absence of premises in France, combined with the geographical distance of the members of the CSE, led the parties to meet in order to define the operating procedures of the CSE.
ARTICLE 1 – TENUE DES REUNIONS DU COMITE SOCIAL ET ECONOMIQUE
ARTICLE 1 - HOLDING OF CSE MEETINGS
Given the geographical distance between the places of work of the CSE members and the fact that the Company does not have any premises in France, the use of videoconferencing appears to be essential for the organization and holding of CSE meetings.
Article 1.1 – The decision to resort to videoconferencing
The Parties mutually agree to systematically use videoconferencing for all CSE meetings in accordance with the provisions of Article L. 2315-4 of the French Labor Code.
Before each meeting, the Chairman of the CSE will inform the members of the CSE of the procedures for connecting to the videoconference (identifiers, links to join the videoconference, access codes, etc.).
le Président du CSE interrogera, en début de séance, chaque participant à la réunion du CSE sur la bonne réception de l’image et du son ;
peut être décidée soit par les membres du CSE par un vote à la majorité des membres élus du CSE participant la réunion, soit par le Président du CSE ;
consiste, dans le cadre d’une réunion par visioconférence, en la déconnexion temporaire des participants ;
le Président du CSE signalera expressément l'ouverture des opérations de vote ;
les membres du CSE disposeront d’un délai de dix (10) minutes pour voter ;
en cas de difficultés techniques rencontrées par un membre du CSE, celui-ci en informera immédiatement le Président du CSE par tout moyen ; dans ce cas, le Président du CSE pourra prolonger le délai imparti aux membres du CSE pour voter ;
le Président du CSE signalera expressément la clôture des opérations de vote ;
Article 1.2 - Conduct of CSE meetings by videoconference
1.2.1. Prior checks
In accordance with Article D. 2315-2 of the French Labor Code, the undertaking of deliberations is subject to verification that all members of the CSE have access to the technical means used to hold the meeting.
In this respect, the Parties agree that :
at the beginning of the meeting, the Chairman of the CSE will ask each participant in the CSE meeting whether they are receiving the correct image and sound;
it is the responsibility of each member of the CSE who encounters technical difficulties to inform the CSE Chairman immediately by any means, such as sending an e-mail or sending an MS Teams message.
1.2.2. Suspension of meeting
In accordance with the provisions of Article D. 2315-1 of the French Labor Code, the holding of meetings of the CSE by videoconference does not exclude the possibility of suspending the meeting.
The Parties agree that suspension of the meeting:
may be decided either by the members of the CSE by a majority vote of the elected members of the CSE participating in the meeting, or by the Chairman of the CSE;
consists, in the case of a videoconference meeting, in the temporary disconnection of the participants;
being temporary, the Chairman of the CSE determines the duration of the suspension of the meeting and the time at which it is to be resumed.
1.2.3. Voting procedures
The Parties agree that, should it be necessary for the members of the CSE to vote by secret ballot, a system will be used that ensure (i) that the identity of the voter cannot, at any time, be linked to the expression of their vote, (ii) the confidentiality of the data transmitted and (iii) the security of the addressing of the means of authentication, the enrolment, the recording and the counting of votes.
In order to enable the members of the CSE to vote simultaneously and to have the same voting time, in accordance with the provisions of Article D. 2315-2 of the French Labor Code, the Parties agree that :
the Chairman of the CSE will give an explicit signal to open the voting;
the members of the CSE shall have ten (10) minutes in which to vote;
if a member of the CSE encounters technical difficulties, they will immediately inform the Chairman of the CSE by any means; in this case, the Chairman of the CSE may extend the time allowed to the members of the CSE to vote;
the Chairman of the CSE shall explicitly signal the end of the voting;
when the results of the vote have been collected, the Chairman of the CSE shall announce the results of the vote.
Article 1.3 – Déclaration des Parties
Les Parties reconnaissent que :
le dispositif technique permettant la visioconférence utilisé, garantit l'identification des membres du CSE et leur participation effective, en assurant la retransmission continue et simultanée du son et de l'image des délibérations ;
Article 1.3 - Declaration by the Parties
The Parties acknowledge that :
the technical system used for the videoconference guarantees the identification of the members of the CSE and their effective participation, by providing continuous and simultaneous transmission of the sound and image of the deliberations;
each of them will fully respect its obligation of confidentiality and, consequently, will ensure that persons not invited to the meeting will not be able to attend or listen to the discussions.
