Il a été exposé et convenu ce qui suit :

Préambule :

Conformément à la volonté des entreprises exerçant leur activité de manière indépendante de créer un Groupe RAS GROUPE commun à l’ensemble des sociétés et de leurs salariés, il a été conclu un accord en date du 20 avril 2021.

Lors de la conclusion de l’accord initial, la SASU RAS SERVICES était dénommée « entreprise dominante » et représentait ainsi les entreprises du Groupe RAS GROUPE.

Compte tenu d’une évolution dans la détention du capital parmi les différentes sociétés du Groupe, il a été convenu de conclure le présent avenant en modifiant l’article 1 de l’accord initial.

Il est convenu que les autres articles de l’accord initial conclu le 20 avril 2021 demeurent inchangés.

Les parties conviennent également de mettre à jour la liste des entreprises entrant dans le périmètre du Groupe au jour de la signature du présent avenant en annexe du présent accord.

Article 1 – Reconnaissance du Groupe

Les parties au présent accord reconnaissent l’existence d’un Groupe formé par :

• RAS, dénommée par la loi « entreprise dominante » ;
• Les entreprises ayant leur siège social en France et sur lesquelles l’entreprise dominante exerce un contrôle ou une influence dominante, au sens de l’article L 2331-1 du Code du travail.
